Offer to Purchase Shares in Saint Arnold Brewing Company

I hereby offer to purchase shares of Saint Arnold Brewing Company stock. Below is the price and number of shares I offer to purchase. I understand that the shares will be sold through the mechanism known as a Dutch Auction that will be conducted in September 2025.

In the unlikely event that there are more shares offered with no minimum than there are buyers, the offering will be canceled. Also, the Company reserves the right to cancel the offering at any time.

As per the Shareholder Agreement, the Company reserves the right to purchase some or all of the shares offered at the price determined by the Dutch Auction.

If not an existing Saint Arnold shareholder, I understand I must complete acceptably the Investor Questionnaire in order for my offer to be considered. I must also offer to purchase at least 400 shares.

If offer is accepted, I agree to fully execute all documents requested from me by the Company including Confidentiality Agreement and Subscription Agreement. I also agree to make payment for the shares by immediately available funds by noon on Friday, October 3, 2025.

Deadline for receipt of this Offer to Purchase form is 5:00 PM on Friday, September 19, 2025.
