Offer to Sell Shares in Saint Arnold Brewing Company
I hereby offer to sell shares of Saint Arnold Brewing Company stock. Below is the number of shares I offer to sell. If I have a minimum share price I will accept, I have written that below. I understand that the shares will be sold through the mechanism known as a Dutch Auction that will be conducted in September 2025. I also understand that if I set a minimum acceptable price, it is possible that none of my shares will be sold. This form may be submitted until Friday, September 19, 2025 at 5:00 PM.
In the unlikely event that there are more shares offered with no minimum than there are buyers, the offering will be canceled. Also, the Company reserves the right to cancel the offering at any time.
As per the Shareholder Agreement, the Company reserves the right to purchase some or all of the shares offered at the price determined by the Dutch Auction.
